Business registration in Zimbabwe is governed by the modernized Companies and Other Business Entities (COBE) Act and administered by the Department of Deeds, Companies and Intellectual Property (DCIP). Incorporating through the DCIP gives your business its legal identity and right to trade.
For foreign investors, the Zimbabwe Investment and Development Agency (ZIDA) operates a highly efficient One-Stop Investment Services Centre (OSISC). ZIDA facilitates major foreign direct investment, processes investment licenses, and provides access to lucrative Special Economic Zones (SEZs).

Types of Companies You Can Register
Zimbabwe’s COBE Act provides flexible, internationally recognized corporate structures.
Private Limited Company (Pvt Ltd)
The most popular structure for SMEs and foreign subsidiaries. It requires at least one director and one shareholder. Importantly, at least one director must be ordinarily resident in Zimbabwe.
Public Limited Company (PLC)
Designed for large-scale enterprises intending to list on the Zimbabwe Stock Exchange (ZSE) or the Victoria Falls Stock Exchange (VFEX). It has stricter regulatory, capital, and financial reporting requirements.
Foreign Business Corp (Branch)
Foreign entities can establish a branch office in Zimbabwe. The parent company retains full liability. You must register the branch with the DCIP by filing certified copies of the parent company’s constitution and appointing a local principal officer.
The Formation Process
Name Search & Reservation
Submit your proposed company names (usually up to 5 options) to the DCIP for clearance. Once a name is approved, it is reserved for 30 days, allowing you to prepare the final incorporation documents.
Filing Incorporation Documents
File the Memorandum and Articles of Association alongside the statutory forms (detailing directors, secretaries, and registered office). You must provide certified copies of national IDs or passports for all directors and shareholders.
ZIMRA Tax Registration
Immediately upon incorporation, the company must register with the Zimbabwe Revenue Authority (ZIMRA) to obtain a Business Partner (BP) Number. This is mandatory for corporate income tax, PAYE, and VAT.
NSSA & Municipal Licensing
Register as an employer with the National Social Security Authority (NSSA). Finally, to commence physical operations, you must obtain a Shop/Trading License from the local city or municipal council.
Foreign Investors & ZIDA
Zimbabwe has repealed its previous Indigenisation laws for most sectors, allowing 100% foreign ownership. However, you must still appoint at least one resident director.
Foreign investors should route their setup through ZIDA. Obtaining a ZIDA Investment License guarantees protection of investments, assists with processing Investor and Employment Visas, and can provide access to Special Economic Zone (SEZ) tax holidays and duty exemptions.
