The Role of PACRA and the ZDA

Business registration in Zambia is governed by the Companies Act and administered by the Patents and Companies Registration Authority (PACRA). Through PACRA’s digitized system, incorporating a new business is highly efficient, providing your company with a formal legal identity to operate.

For foreign investors, the Zambia Development Agency (ZDA) is an indispensable partner. The ZDA facilitates major foreign direct investment, particularly for projects located within Zambia’s highly lucrative Multi-Facility Economic Zones (MFEZ), which offer substantial tax and customs incentives.

Types of Companies You Can Register

Zambia’s Companies Act provides flexible, internationally recognized corporate structures.

Private Company Limited by Shares

The preferred structure for the majority of local businesses and foreign subsidiaries. It requires at least two shareholders and two directors. Notably, at least one director must be a resident of Zambia.

Public Limited Company (PLC)

Designed for large-scale enterprises intending to list on the Lusaka Securities Exchange (LuSE) or raise public capital. It has stricter regulatory, capital, and financial reporting requirements than a private company.

Foreign Company (Branch)

Foreign entities can establish a branch office in Zambia. The parent company retains full liability. You must register the branch with PACRA by filing certified copies of the parent company’s charter and appointing a local documentary agent.

The PACRA Formation Process

Name Clearance & Reservation

Submit your proposed company names to PACRA for clearance. Once a name is approved, it is reserved for 30 days, giving you ample time to prepare and sign the incorporation documents.

Filing Incorporation Documents

File the Articles of Association along with the requisite Companies Act forms (Form 2, 5, and 11). You must provide certified copies of the directors’ and shareholders’ national IDs or passports, and designate a registered office address in Zambia.

ZRA Tax Registration

Immediately upon incorporation, the company must register with the Zambia Revenue Authority (ZRA) to obtain a Taxpayer Identification Number (TPIN). This is mandatory for corporate income tax, PAYE, and VAT (if the turnover threshold is met).

Business Levy & Council Licensing

To commence physical operations, you must pay an annual Business Levy and obtain a Fire Certificate and Trading License from the local city or municipal council where your business is situated.

Foreign Investors & the ZDA

Zambia allows 100% foreign ownership. However, the Companies Act mandates that at least one director be a resident of Zambia (they do not need to be a citizen, only a resident).

Foreign investors bringing in excess of $250,000 USD should apply for an Investment License through the Zambia Development Agency (ZDA). This license guarantees protection against expropriation, assists in securing Employment Permits for expatriates, and opens the door to massive tax holidays if operating in an MFEZ.

  • ⚠️ NAPSA Registration: As soon as you hire employees, you are legally required to register with the National Pension Scheme Authority (NAPSA) and make monthly statutory contributions.
  • ⚠️ Workers’ Compensation: You must also register with the Workers’ Compensation Fund Control Board (WCFCB) to cover employees against occupational accidents.
  • ⚠️ Annual Returns: To maintain good standing, companies must file annual returns with PACRA accompanied by the prescribed fees. Failure to do so will result in deregistration.
