Business registration in Sudan is governed by the Companies Act and administered by the Commercial Registry under the Ministry of Justice. Securing your Certificate of Incorporation is the foundational step for all commercial and legal activities within the country.
For foreign direct investment, the Ministry of Investment acts as the central facilitation body. Operating under the National Investment Encouragement Act, this ministry evaluates projects—especially in strategic sectors like agriculture and manufacturing—granting critical exemptions from customs, taxes, and certain foreign ownership restrictions.

Types of Companies You Can Register
Sudan’s legal framework provides standard corporate vehicles tailored for both local operations and international joint ventures.
Private Limited Company (Ltd)
The most common structure used by foreign investors and local entrepreneurs. It limits shareholder liability to their capital contributions. It requires a minimum of two shareholders and cannot offer its shares to the general public.
Public Limited Company (PLC)
Designed for large-scale operations intending to raise capital publicly or list on the Khartoum Stock Exchange (KSE). It requires a minimum of seven shareholders and is subject to stringent financial reporting and auditing requirements.
Branch Office
Foreign companies executing specific government contracts or localized projects can register a Branch. The parent company retains full legal and financial liability. Registration requires filing authenticated and translated corporate documents from the home country.
The Formation Process
Name Search & Preliminary Approval
The process begins at the Commercial Registry by submitting proposed company names for clearance. Once a unique name is approved, you obtain a preliminary approval certificate to proceed with drafting documents.
Drafting & Notarization (Arabic)
Prepare the Memorandum and Articles of Association. All official documentation submitted to the Ministry of Justice must be in Arabic. Foreign documents must be translated by a sworn translator and authenticated by the Sudanese Embassy in the country of origin.
Commercial Registry Finalization
Submit the notarized documents, along with lease agreements for your registered office and identification for all directors/shareholders, to the Commercial Registry to obtain your final Certificate of Incorporation.
Tax Chamber & Zakat Registration
Immediately following incorporation, you must register the company with the Taxation Chamber for your Tax Identification Number (TIN). Uniquely, companies in Sudan must also register with the Zakat Chamber for mandatory corporate Zakat (Islamic wealth tax) assessments.
Foreign Investors & The Ministry of Investment
Under the National Investment Encouragement Act, Sudan offers substantial incentives to foreign investors bringing capital into strategic sectors like agriculture, livestock, mining, and manufacturing.
Registering your project with the Ministry of Investment is crucial. Approved “Strategic Projects” can benefit from extensive exemptions on Business Profit Tax (BPT) for up to 10 years, exemptions from customs duties on imported capital equipment, and guarantees against expropriation.
