Types of Companies You Can Register

The 2019 Company Law introduced familiar, internationally recognized corporate vehicles to replace legacy structures.

Private Limited Company (LLC/LTD)

The most popular and flexible structure for local entrepreneurs, diaspora investors, and foreign subsidiaries. It requires at least one shareholder and limits liability to the amount of share capital contributed. It cannot offer shares to the general public.

Public Limited Company (PLC)

Designed for large-scale investments intending to raise capital broadly. A PLC faces heavier regulatory and auditing burdens, requires stricter corporate governance, and is mandated to hold formal statutory meetings.

Foreign Company (Branch)

Foreign entities executing specific donor-funded contracts, infrastructure projects, or NGO partnerships can register a local branch. It requires submitting authenticated corporate documents from the parent company’s home jurisdiction to the MoCI.

The Formation Process

SBRS Account & Name Reservation

Create an account on the SBRS portal. Conduct a digital name search to verify uniqueness. Once cleared by the registrar, the proposed company name is officially reserved.

Digital Dossier Submission

Upload the requisite documents to the portal, including the Memorandum and Articles of Association (MOA/AOA), director/shareholder passport copies, and proof of physical office space in Somalia.

MoCI Incorporation & Issuance

Upon review and payment of the statutory registration fees via approved mobile money or banking channels, the MoCI will issue the digital Certificate of Incorporation and an official Business License.

Tax Registration (TIN) & Chamber Membership

Following incorporation, businesses must register with the Ministry of Finance to secure a Tax Identification Number (TIN). Registering with the Somali Chamber of Commerce and Industry (SCCI) is also standard practice for trading entities.

Foreign Investors & FIL Incentives

Somalia is actively courting capital to rebuild its infrastructure, agriculture, and blue economy. The Foreign Investment Law (FIL) explicitly permits 100% foreign ownership and legally guarantees the free repatriation of profits, dividends, and invested capital.
