Business registration in Ghana is administered by the Office of the Registrar of Companies (ORC), which took over the registry functions from the Registrar General’s Department. The ORC handles the issuance of incorporation certificates and ensures compliance with the modern Companies Act of 2019 (Act 992).
For foreign investors, the Ghana Investment Promotion Centre (GIPC) is the ultimate regulatory gatekeeper. While 100% foreign ownership is allowed, the GIPC strictly enforces minimum foreign equity requirements depending on whether you are entering a joint venture, a wholly-owned enterprise, or a trading business.

Types of Companies You Can Register
Ghana’s Companies Act (Act 992) offers robust corporate structures aligned with English Common Law.
Private Limited Company (Ltd)
The most prevalent entity for local and international businesses. It restricts the right to transfer shares and prohibits public subscription. Ghana requires a minimum of two directors, at least one of whom must be ordinarily resident in Ghana.
Public Limited Company (PLC)
Designed for large-scale operations looking to raise capital from the public or list on the Ghana Stock Exchange (GSE). It carries heavier regulatory burdens, requiring formalized prospectuses, statutory meetings, and rigorous audits.
External Company (Branch)
A foreign company may establish an External Company in Ghana. It is not a separate legal entity, meaning the parent company retains full liability. It requires appointing a Local Manager who resides in Ghana to act as the official representative.
The Formation Process
Name Search & Reservation
Submit a proposed company name to the ORC. The name must be unique and appropriate. Upon approval, it can be reserved for up to 60 days while you prepare the incorporation documents.
ORC Incorporation & TIN Generation
File the incorporation forms, detailing directors, the company secretary, and the registered auditor. Under the new system, incorporation automatically generates the company’s Tax Identification Number (TIN) with the Ghana Revenue Authority (GRA).
Business Operating Permit (BOP)
Before commencing business, you must obtain a Business Operating Permit from the Metropolitan, Municipal, or District Assembly (MMDA) where your physical office is located (e.g., Accra Metropolitan Assembly).
GIPC & SSNIT Registration
Foreign investors must subsequently register the company with the GIPC by showing proof of imported equity capital. Concurrently, all businesses must register as employers with the Social Security and National Insurance Trust (SSNIT).
Foreign Investors & GIPC Capital Rules
While foreign investment is highly welcomed, the GIPC Act (Act 865) mandates strict minimum foreign equity requirements to protect local micro-businesses:
- Joint Ventures: $200,000 minimum foreign equity (if partnered with a Ghanaian holding at least 10%).
- Wholly Foreign-Owned: $500,000 minimum foreign equity.
- Trading Enterprises: $1,000,000 minimum foreign equity (buying/selling goods).
Satisfying these thresholds allows the GIPC to grant Automatic Expatriate Quotas (work permits) based on the capital invested, facilitating smooth operational scale-up.
