Types of Companies You Can Register

The Gambia’s Companies Act provides flexible, English Common Law-based corporate structures.

Private Limited Company (PRV)

The most popular structure for SMEs and foreign subsidiaries. It requires at least one director and one secretary. The Gambia notably allows for a Single Member Company (SMC), making it incredibly easy for a solo foreign entrepreneur to incorporate a limited liability entity.

Public Limited Company (PLC)

Designed for large-scale enterprises intending to raise public capital. A PLC requires stricter regulatory compliance, a minimum share capital, and mandatory financial auditing, making it suitable for significant infrastructure or financial projects.

Foreign Company (Branch)

Foreign entities can establish a branch office in The Gambia. The parent company retains full liability. Registration requires filing certified and authenticated copies of the parent company’s Memorandum and Articles of Association with the SWBR.

The Formation Process

Name Search & Reservation

The process begins at the Single Window Business Registry (SWBR) located at the Ministry of Justice in Banjul. Submit your proposed company name to ensure it does not conflict with existing registered businesses or trademarks.

Drafting & Filing Documents

Prepare the Memorandum and Articles of Association. You will also need to complete the standard incorporation forms (detailing directors, the company secretary, and the registered office address in The Gambia) and attach copies of the founders’ passports or national IDs.

SWBR & GRA Tax Registration

Upon submitting the dossier and paying the incorporation fees, the SWBR issues your Certificate of Incorporation. Crucially, the SWBR system is linked with the Gambia Revenue Authority (GRA), meaning your Tax Identification Number (TIN) is generated concurrently.

Municipal Trade License

Before commencing commercial operations, you must acquire a Trade License from the local municipal council where your business is physically located (such as the Kanifing Municipal Council – KMC, or Banjul City Council – BCC).

Foreign Investors & GiEPA

The Gambia encourages foreign investment with no restrictions on the repatriation of profits, dividends, or capital. To maximize these benefits, foreign investors should engage with GiEPA.

By obtaining a Special Investment Certificate (SIC), companies investing in priority sectors (like agriculture, fisheries, tourism, manufacturing, and energy) can qualify for up to 5 years of corporate tax holidays, exemptions from import duties on capital equipment, and preferential land allocation.
