Business registration in Uganda is centralized and rapidly digitizing under the Uganda Registration Services Bureau (URSB). The URSB operates the Business Registration System (BRS) portal, which allows entrepreneurs to search for names, file incorporation documents, and simultaneously apply for a Tax Identification Number (TIN) via an integrated link with the Uganda Revenue Authority (URA).
For foreign investors, the Uganda Investment Authority (UIA) serves as the primary One-Stop Centre. The UIA actively facilitates foreign direct investment by helping investors secure secondary licenses, process expatriate work permits, and access industrial park land and tax incentives.

Types of Companies You Can Register
Governed by the Companies Act of 2012 (and recent amendments), Uganda offers modern, Common Law-based corporate structures.
Private Limited Company (LTD)
The preferred vehicle for most startups, SMEs, and foreign subsidiaries. The Companies Act allows for the formation of a single-member company, meaning one person can act as both the sole shareholder and director. Liability is strictly limited to the share capital.
Public Limited Company (PLC)
Designed for large-scale operations intending to list on the Uganda Securities Exchange (USE) or raise public capital. A PLC requires a minimum of seven members, a formalized board structure, and faces stringent statutory auditing and reporting requirements.
Branch of a Foreign Company
Foreign companies can register a branch to operate directly in Uganda. The parent company assumes all liabilities. Registration requires filing certified copies of the parent company’s charter/statutes and appointing an authorized local representative.
The Formation Process
URSB Account & Name Reservation
Create an account on the URSB Business Registration System (BRS). Conduct a digital name search and submit your preferred name. Once approved, it is reserved for 30 days.
Filing Statutory Forms & Beneficial Ownership
Upload the Memorandum and Articles of Association (MEMARTs). Crucially, under recent anti-money laundering amendments, you must explicitly declare the Ultimate Beneficial Owners (UBOs) via the official URSB Beneficial Ownership forms.
URSB Incorporation & URA TIN
Pay the stamp duties and registration fees. The URSB issues the Certificate of Incorporation. Due to system integration, this process simultaneously triggers the Uganda Revenue Authority (URA) to generate the company’s Tax Identification Number (TIN).
Trading License & NSSF Registration
Before commencing operations, you must secure a localized Trading License from the municipal authority (e.g., Kampala Capital City Authority – KCCA). Finally, register the company as an employer with the National Social Security Fund (NSSF).
Foreign Investors & UIA Incentives
Uganda maintains a highly liberalized economy, allowing 100% foreign ownership in almost all sectors and guaranteeing the free repatriation of profits and capital without exchange controls.
To formalize a foreign business and unlock operational advantages, foreign investors should apply for a UIA Investment License. This requires demonstrating a minimum capital investment of $250,000 USD (compared to $50,000 USD for domestic investors). Holding this license is essential for obtaining expatriate work permits and qualifies the company for major tax holidays in priority sectors like agro-processing and manufacturing.

- ⚠️ Beneficial Ownership (BO): Uganda has aggressively tightened anti-money laundering compliance. Filing accurate Beneficial Ownership forms with the URSB is strictly enforced; failure to do so will block the issuance of your incorporation certificate.
