Types of Companies You Can Register

Seychelles offers world-renowned offshore vehicles alongside standard domestic structures.

International Business Company (IBC)

The flagship offshore vehicle governed by the IBC Act 2016. An IBC is completely tax-exempt in Seychelles, provided all its income is derived outside the jurisdiction. It requires only one director and one shareholder, offers high privacy, and has no minimum paid-up capital.

Company Special License (CSL)

A tax-resident domestic company operating under a special offshore license. Unlike an IBC, a CSL pays a low corporate tax (typically 1.5% on worldwide income) and can access Seychelles’ extensive network of Double Taxation Avoidance Agreements (DTAAs).

Proprietary Limited Company (Pty Ltd)

The standard entity for foreigners wishing to conduct active business physically within the Seychelles (e.g., tourism, hospitality, local retail). It is subject to standard local corporate taxation and requires specific licensing from the Seychelles Investment Board (SIB).

The Formation Process (Offshore IBC)

Engage a Licensed Registered Agent

Under Seychelles law, an IBC cannot be incorporated directly by a foreign individual. You must engage an FSA-licensed Corporate Service Provider (Registered Agent) who will handle the strict KYC/AML checks and act as your legal intermediary.

Name Approval & KYC Clearance

The Registered Agent will run a name search with the FSA. You must provide certified passport copies, proof of residential address (utility bill), and a business plan/source of funds declaration to pass the agent’s internal compliance.

FSA Incorporation

The Registered Agent files the Memorandum and Articles of Association digitally with the FSA. Within 24 to 48 hours, the FSA issues the Certificate of Incorporation and returns the stamped corporate documents.

Statutory Registers & BO Filing

Post-incorporation, the agent drafts the Register of Directors, Register of Members, and issues Share Certificates. Crucially, they must now upload your Beneficial Ownership details to the secure Financial Intelligence Unit (FIU) portal.
