Types of Companies You Can Register

Rwanda’s Company Law provides flexible, Common Law-influenced structures designed for speed and transparency.

Private Limited Company (LTD)

The absolute standard for local businesses and foreign subsidiaries. An LTD restricts the right to transfer shares and prohibits public capital raising. It can be formed by a single individual (Single-Member Company) and has no mandatory minimum share capital.

Public Limited Company (PLC)

Designed for large-scale operations looking to raise capital via the Rwanda Stock Exchange. A PLC faces heavier regulatory burdens, requires a minimum of one shareholder and at least two directors, and must hold statutory meetings.

Branch Office (Foreign Company)

A foreign company may establish a branch in Rwanda. It is not a separate legal entity, meaning the parent company retains full liability. Registration is handled online via the RDB, requiring authenticated parent company documents.

The Formation Process

Account Creation & Name Search

Create an account on the RDB online registration portal. The first step in the digital workflow is a live name search. If the name is available, you proceed immediately to the application form.

Completing the Digital Dossier

Fill in the details of the company, directors, and shareholders. You will upload passport copies (for foreigners) or input National ID numbers (for Rwandans). The system generates standardized Memorandum and Articles of Association automatically.

RDB Issuance & Tax TIN Generation

Submit the application. Within hours, the RDB issues your electronic Certificate of Incorporation. Crucially, this single process automatically generates your Tax Identification Number (TIN) via the Rwanda Revenue Authority (RRA) backend.

RSSB & Sector Licensing

The initial registration also enrolls the company with the Rwanda Social Security Board (RSSB). Post-incorporation, you must apply for a trading license (Patente) from the local district office (Sector level) where your business is physically located.
