Types of Companies You Can Register

Limited Liability Company (SARL)
The Société à Responsabilité Limitée is the most popular entity. It can be formed by a single individual (SUARL) or multiple partners. Burundi has aggressively reformed its laws, effectively abolishing the statutory minimum share capital requirement for a SARL to maximize accessibility.
Joint Stock Company (SA)
The Société Anonyme is designed for large-scale operations and public capital raising. It requires a more formalized governance structure, a minimum share capital, and the mandatory appointment of a recognized statutory auditor (Commissaire aux Comptes).
Branch Office (Succursale)
Foreign entities can establish a branch office to operate directly in Burundi without creating a separate legal subsidiary. The parent company retains full liability. Registration requires providing translated and legalized corporate records from the home country.
The Formation Process
Drafting the Statutes (Private Deed)
Burundi is highly progressive in that it allows the Articles of Association (Statuts) for a SARL to be drafted as a private deed (Acte Sous Seing Privé). The mandatory use of a Notary Public was abolished for standard formations to speed up the process.
API Guichet Unique Submission
Submit the signed statutes, along with passport copies of the directors, directly to the API One-Stop Shop. The API manages the Commercial Registry (Registre de Commerce) entry internally.
OBR Tax Registration (NIF)
Within the same API building, the desk for the Office Burundais des Recettes (OBR) processes the tax registration. They will immediately issue your Tax Identification Number (Numéro d’Identification Fiscale – NIF).
INSS & Publication
The final steps involve registering the company with the Institut National de Sécurité Sociale (INSS) for employer benefits and pensions. The API then facilitates the mandatory publication of your company’s formation to make it legally binding to third parties.

Burundi treats foreign and domestic investors equally, permitting 100% foreign ownership and guaranteeing the repatriation of invested capital and dividends.
