Types of Companies You Can Register

Liberia’s Associations Law offers modern, flexible entities identical to those found in the United States.

Corporation (Inc. / Corp.)

The most common vehicle for large-scale foreign investment. It features standard corporate governance (Shareholders, Board of Directors, and Officers). There is no minimum capital requirement, and shares can be issued with or without par value.

Limited Liability Company (LLC)

Highly flexible and favored by SMEs and joint ventures. Formed under the LLC Act, it is governed by an Operating Agreement among its members. It provides limited liability protection and requires at least one member (which can be a natural person or a corporate entity).

Foreign Maritime / Branch Office

Foreign companies executing specific local contracts (e.g., mining or infrastructure) can register a branch. The parent company retains full liability. Registration requires filing authenticated corporate records from the parent company’s home jurisdiction with the LBR.

The Formation Process

Name Search & Reservation

Submit a proposed company name to the Liberia Business Registry (LBR). Once cleared, the name can be reserved for up to 120 days, allowing ample time to prepare the incorporation documents.

TIN Generation (LRA)

File the Articles of Incorporation (or Certificate of Formation for an LLC) along with copies of the founders’ passports. Pay the requisite fees to obtain your Business Registration Certificate, which serves as your legal right to trade.

Register the company and its employees with the National Social Security and Welfare Corporation (NASSCORP). Depending on your sector (e.g., mining, forestry, agriculture), you will also need to secure operational licenses from the respective ministries.

Foreign Investors & The NIC

While Liberia encourages foreign direct investment, it enforces a strict “Liberianization Policy.” Certain business activities—such as block making, travel agencies, commercial printing, and retail trade under a specific capital threshold—are exclusively reserved for Liberian citizens.
