Types of Companies You Can Register

Malawi’s Companies Act provides standard corporate vehicles for local and international operators.

Private Limited Company (Ltd)

The most common structure for SMEs and foreign subsidiaries. Liability is limited to the share capital. Malawi requires at least two directors, and at least one director must be a resident of Malawi.

External Company (Branch)

Foreign companies can register a branch in Malawi without forming a new local entity. This requires appointing a local representative and filing certified corporate records from the parent company’s home jurisdiction.

Company Ltd. by Guarantee

Typically utilized by non-profits, associations, and NGOs. Members act as guarantors rather than shareholders, pledging a nominal sum in the event the organization is liquidated.

The Registration Process

Name Reservation (MBRS)

Submit your proposed company name to the Registrar General via the online MBRS portal. If unique and compliant, the name is reserved for you to prepare the final incorporation paperwork.

Incorporation Filing

Upload your Memorandum and Articles of Association, along with copies of the directors’ and shareholders’ national IDs or passports. Consent forms signed by the appointed directors must also be provided.

MRA Tax Registration

Once the Certificate of Incorporation is issued, the entity must register with the Malawi Revenue Authority (MRA) to obtain a Taxpayer Identification Number (TPIN). VAT registration is required if your projected turnover exceeds the current legal threshold.

Local Business License

Before commencing operations, you must apply for a Business License (or Trading License) from the local City or District Council where your premises are located. This step requires physical inspections and a valid commercial lease.

Foreign Investors & MITC

Malawi requires at least one company director to be a resident. Furthermore, foreign investors are required to register their investment with the Malawi Investment and Trade Centre (MITC).

MITC issues an Investment Certificate (usually requiring a minimum capital threshold). This certificate is critical as it acts as your gateway to securing Business Residence Permits (BRPs) and Employment Permits for expatriate staff from the Department of Immigration.
