The Role of the Registrar and EIPA

Business registration in Eswatini (formerly Swaziland) is handled by the Registrar of Companies under the Ministry of Commerce, Industry and Trade. Incorporating your business establishes its legal identity, but operating legally requires strict adherence to local trading and tax laws.

For foreign investors, the Eswatini Investment Promotion Authority (EIPA) serves as a critical “One-Stop Shop.” Eswatini offers unparalleled access to major markets through its membership in SACU, SADC, and COMESA, alongside preferential trade agreements like AGOA.

Types of Companies You Can Register

Eswatini offers several distinct corporate vehicles governed by the Companies Act.

Private Company (Pty Ltd)

The most widely used structure for SMEs and foreign direct investment. It requires a minimum of one director and restricts the maximum number of shareholders to 50. Shares cannot be offered to the general public.

Public Company (Ltd)

Geared toward large enterprises that intend to raise capital from the public. It requires a minimum of seven shareholders and stricter compliance, accounting, and reporting standards than a private company.

External Company (Branch)

Foreign companies can register an External Company to operate a branch within Eswatini. Registration requires filing notarized copies of the parent company’s foundational documents with the local Registrar.

The Eswatini Registration Process

01

Name Reservation

Submit a proposed company name to the Registrar of Companies. If approved, the name is reserved while you prepare your incorporation documents. This step prevents naming conflicts with existing entities.

02

Memorandum and Articles of Association

Draft the foundational documents outlining the company’s rules, shares, and director appointments. In Eswatini, it is standard practice to utilize an attorney, notary public, or specialized corporate service provider to draft and lodge these documents.

03

Incorporation & ERS Tax Registration

Once the Registrar issues the Certificate of Incorporation, the company must immediately register with the Eswatini Revenue Service (ERS) to obtain a Tax Identity Number (TIN) for corporate tax and VAT (if applicable).

04

Obtaining a Trading License

Crucial step: You cannot legally conduct business in Eswatini without an active Trading License. This requires a physical commercial premises, a signed lease, and an inspection by the Ministry of Health and local municipality.

Foreign Investors & EIPA

Eswatini actively encourages foreign investment, particularly in manufacturing, agriculture, and export-driven sectors. EIPA provides vital facilitation services, helping foreign entities navigate the bureaucracy of incorporation and licensing.

To operate locally, expatriate directors and staff must obtain Entry Permits (Work Permits) through the Ministry of Home Affairs. EIPA can assist qualifying investors in fast-tracking these permits and securing highly competitive corporate tax concessions (sometimes as low as 10% for approved manufacturing investments).

Compliance to Watch

  • ⚠️ The Trading License: Getting incorporated is fast, but securing the Trading License takes longer due to required physical inspections and a 21-day public notice period in the local newspaper.
  • ⚠️ ENPF Contributions: As soon as you hire employees, you are legally mandated to register with the Eswatini National Provident Fund (ENPF) and deduct monthly contributions.
  • ⚠️ Annual Returns: All registered companies must file annual returns and pay renewal fees to the Registrar of Companies to remain in good standing.
