Types of Companies You Can Register
Botswana’s Companies Act offers modern corporate structures optimized for efficiency.
Private Company (Pty Ltd)
The most utilized vehicle for SMEs and foreign investors. It limits shareholder liability to their share capital. A Botswana Pty Ltd requires at least one director who is a resident of Botswana.
External Company (Branch)
Foreign entities can register an External Company to operate a branch in Botswana without establishing a new local subsidiary. Registration requires submitting certified, translated constitutional documents from the parent company.
Company Ltd. by Guarantee
Utilized primarily by non-profits, NGOs, charities, and associations. Instead of shares, members guarantee to contribute a nominal amount in the event the company is wound up.
The CIPA Registration Process
OBRS Account & Name Reservation
All interactions happen through the OBRS portal. You must first create a profile and apply for name reservation. Name approvals typically take 24 hours. The name will be reserved for 30 days.
Declaration & Documentation
Upload copies of national IDs (Omang) for citizens, or certified passports for foreign directors and shareholders. Directors must sign a consent and declaration form confirming they are not disqualified from acting as directors.
Incorporation via CIPA
Pay the required fees through the OBRS portal. Once approved, you will receive a digital Certificate of Incorporation, which includes your Unique Identity Number (UIN).
BURS Registration & Trade Licenses
After incorporation, you must register the entity with the Botswana Unified Revenue Service (BURS) for tax purposes. Depending on your activities, you must also obtain a Trade License from the local city or district council before opening doors to the public.
Foreign Investors & BITC
While foreign ownership is highly encouraged, Botswana requires that at least one director of a Pty Ltd be a resident in Botswana (they do not need to be a citizen, just legally resident).
If your investment meets specific capital thresholds, engaging the Botswana Investment and Trade Centre (BITC) is highly recommended. BITC helps fast-track Investor Visas, Work Permits for expatriates, and can assist in qualifying for the 15% manufacturing or IFSC tax rate.
